TERMS AND CONDITIONS OF SALE

Please read thoroughly this Terms and Conditions of Sale (these “Terms”) before placing an order with us either directly or via our Website. These Terms contain important information about your contractual relationship with EcoNest Philippines, hence, please make sure that you understand them.

These terms are effective as of Jan. 1, 2021

  1. About Us. We are EcoNest Philippines, a Philippines based company with registered address at 506 77 Visayas Ave. Vasra Quezon City, Philippines (collectively, “SGEI”, “us” or “we”)
  2. About these Terms
    1. These Terms will apply to any contract between you and SGEI in connection with the sale of products including those available on our Website (“Product” or “Products”). In case of conflict between other contracts, these Terms shall prevail.

    3. We may change these Terms from time to time
    4. In our dealings with you, we work on the assumption that all sales are to private consumers/entities, you are at least eighteen (18) years of age, and you are legally capable of entering into binding contracts
  3. About our Products.
    1. EcoNest Philippines makes every effort in ensuring the colors shown on the website and other marketing collaterals accurately match the products we actually sell. However, there may be some subtle differences in actual color due to differences in computer systems and color monitors. As such EcoNest Philippines cannot guarantee that the individual’s monitor display will give a true representation of product colors. We do not warrant that the quality of any of our products, services, or information accessed in this website will meet your expectations. We do not warrant that any errors in this website will be corrected.
    2. All sizes and measurements are approximate; however, we do make every effort to ensure they are as accurate as possible.
    3. The prices and products as well as those seen on our website are subject to change at any time without notice. We shall not be liable to you or to any third-party for any modification, price change, suspension or discontinuance of the website.
  4. Guidelines in Placing an Order
    1. If ordering through the website
      1. Upon checkout fill in the requested details, including your shipping address, name, etc. All information that you submit to us will be handled carefully.
      2. For shopify orders and quotes that are already accepted, kindly settle the total amount through

      3. For quote requests, kindly give us 3 to 5 business days to send it to your email
      4. You will receive an order confirmation email from us once payment has been received
      5. Once you receive your Order Confirmation, we will not be able to make any changes to the delivery address you provided.
      6. If for any reason we cannot provide you with a Product in your order, you will be contacted by email and a refund will be issued for the amount you paid for such Product, including any relevant delivery charges paid if the order contained only that Product.
      7. A minimum quantity of 3 packs (or 300 pieces) of either one SKU or assorted items for retail orders.
      8. For wholesale orders, there is a minimum quantity of 3 assorted boxes (roughly equivalent to 1,500 pieces). A special discount will be reflected depending on the volume of your wholesale order.
    2. If ordering directly
      1. Kindly send us a purchase order indicating SECAED Global Enterprises Inc. as the supplier, the delivery date, payment terms, the item to be purchased, quantity and amount. Kindly send us as well the delivery method and schedule if applicable. Please send a signed terms ad conditions as well.
      2. You will receive an order confirmation email
      3. Once you receive your Order Confirmation, we will not be able to make any changes to the delivery address you provided.
    3. By submitting an order, the customer agrees to be bound by our Terms and Conditions.
  5. Returns, Exchanges and Refunds Policy.
    1. EcoNest Philippines (SECAED Global Enterprises Inc.) reserve the right to refuse or delay returns, exchange, and refunds especially if they do not meet policy standards and if fraud or abuse is suspected
    2. Our returns, exchanges and refunds policy does not cover products that are faulty due to mistreatment, poor maintenance, tampering or improper use and if the goods were damaged during transit.
    3. To be eligible for a return, your item must be unused and in the same condition that you received it. It must also be in the original packaging.
    4. Customized and customizable items are non-returnable.
    5. If you are charged more than the posted or advertised price, we will refund you the difference. Just provide us the invoice number and proof of deposit or money transfer
    6. EcoNest Philippines warrants only that the products are complete and free from manufacturing defects at the time of their delivery. Where the client determines that such products are incomplete and are defective under this warranty, it shall report the defect or the shortage to EcoNest Philippines within forty eight (48) hours from receipt of Products, specifying the nature of defect, shortage quantity, the name of the purchaser and locations of the claim. If the Product is found to be incorrect, defective or damaged, we will either at your request (i) send you the same Product if still available, or (ii) if not available, and if you indicate that you want a refund, refund the price of the Product, the shipping charges you have paid to receive such Faulty Product(s), and shipping charges you have paid to return such Faulty Product(s). Any claim of the client against SGEI shall be barred unless timely and immediate notice is given as required by this paragraph. Please note, if a Faulty Product was sent to you with other Product(s) that you are not returning, we will only refund your initial shipping costs pro rata
    7. Client shall be responsible to check the items once they receive it. Any claim of the client against SGEI shall be barred unless timely and immediate notice is given as required by 5.f.
  6. Shipping Policy
    1. We aim to ship Product(s) to you as soon as possible, but we cannot provide an exact delivery date. Instead, we will inform you of an estimated delivery date. We take no responsibility for any failure to deliver products within the expected delivery time. Dispatch and delivery dates are provided as guides to our customers only.
    2. EcoNest Philippines is not liable for any failure, delay, loss, and damage of the products while in transit.
    3. Orders placed on our Website are fulfilled within the estimated delivery period we issued, unless there is an Event Outside of our Control. If this occurs, we will send you a revised estimated delivery date.
    4. For orders placed on our website, we may cancel the transaction if payment is not received from you in full
    5. Individual prices of the products do not include said shipping fee.
    6. We will not be liable for any failure, delay, loss, and damage of the products while in transit.
    7. We use third party couriers and applications or their tools for shipping. We may provide you with access to these tools and proof of shipping which we do not have any control or input. You acknowledge and agree that we provide access to these tools and proof of shipping without any warranties, representations or conditions of any kind and without any endorsement. We shall have no liability whatsoever arising from or relating to your use of these third-party tools or proof of shipping.
    8. For Metro Manila: allow us 3 - 5 business days to process and ship your order once payment is confirmed
    9. For Provincial areas: allow us 7 - 10 business days to process and ship your order once payment is confirmed
    10. Please note that there will be no deliveries during holidays and weekends.
  7.  Payment
    1. Shipping fees are not included in the overall order value unless stated in the invoice.
    2. EcoNest Philippines accepts payment via FT (Electronic Fund Transfer / Wire Transfer) and bank transfer only.
    3. Payments will only be recognized once sent to payments.econestph@gmail.com and requests.econestph@gmail.com
    4. The processing of payment for orders placed on a weekend or public holiday will commence on the next business day.
    5. Upon clearance of all details, Shopify or EcoNest Philippines will email a digital order confirmation which is to be used as proof of purchase.
    6. It is the customer’s liability to double check the order is correct before payment. Once order is confirmed, it is considered final.
  8. Force Majeure
    1. We will not be liable or responsible for any failure to perform, or delay in performance of, any of our obligations under a Contract that is caused by Force Majeure.
    2. Force Majeure means any act or event beyond our reasonable control, including without limitation strikes, lock-outs or other industrial action by third parties, civil commotion, riot, invasion, terrorist attack or threat of terrorist attack, war (whether declared or not) or threat or preparation for war, fire, explosion, storm, flood, earthquake, subsidence, epidemic or other natural disaster, or failure of public or private telecommunications networks, denial of service or hacker attacks, or impossibility of the use of railways, shipping, aircraft, motor transport or other means of public or private transport
    3. If Force Majeure takes place that affects the performance of our obligations under a Contract:
      1. we will contact you as soon as reasonably possible to notify you; and
      2. our obligations under a Contract will be suspended and the time for performance of our obligations will be extended for the duration of the Force Majeure
    4. Where the Event Outside Our Control affects our delivery of Products to you, we will arrange a new delivery date with you after the Event Outside Our Control is over
  9. Additional Important Terms and Information.
    1. We may transfer our rights and obligations under a Contract to another organisation, but this will not affect your rights or our obligations under these Terms.
    2. Each Contract is between you and us. No other person shall have any rightsto enforce any of its terms.
    3. Each of the Sections and paragraphs of these Terms operate separately. If any court or relevant authority decides that any of them are unlawful or unenforceable, the remaining Sections and paragraphs will remain in full force and effect.
    4. If we fail to insist that you perform any of your obligations under these Terms or if we do not enforce our rights against you, or if we delay in doing so, that does not mean that we have waived our rights against you and does not mean that you do not have to comply with those obligations. If we do waive a default by you, we will do so expressly and only in writing, and that does not mean that we will automatically waive any later default by you.
    5. When you send comments as creative ideas, suggestions and proposals through our website, social media or by email, you agree and confirm that we may use freely this information for the benefit of the company. EcoNest Philippines shall have no obligation to pay for compensation for these comments and will not be bound to keep private and respond to said comments and suggestions. Econest Philippines shall also have no responsibility and no obligation to pay for damages if proven that it contains libelous and unlawful content and if proven that it violated any third-party rights, copyright, trademark or any personal or propriety rights.
    6. EcoNest Philippines also has the right to utilize lifestyle and commercial photos of products tagged by a customer on our social media accounts namely but not limited to the following handles: @econestph for Instagram and EcoNest PH Company for Facebook.
    7. By accepting this terms and conditions, you confirm that you are providing truthful information and shall not use false information such as email addresses and pretend to be someone other than yourself
    8. These Terms are governed by the laws of the Philippines.
    9. By clicking the “I agree with EcoNest Philippines Terms and Conditions of Sale” or by signing a sheet containing these terms and conditions, you agree and will be bound by these terms and conditions

 

EcoNest Philippines Messaging Terms & Conditions
Effective Date: August 20, 2021

This SMS message program is a service of EcoNest Philippines. By providing your cell phone number, you agree to receive recurring automated promotional and personalized marketing text messages (e.g., SMS/MMS cart reminders, sale notices, etc) from EcoNest Philippines. These messages include text messages that may be sent using an automatic telephone dialing system, to the mobile telephone number you provided when signing up or any other number that you designate. You give EcoNest Philippines permission to send text messages to the enrolled cell phone number through your wireless phone carrier, unless and until you end permission per these Terms & Conditions. Consent to receive automated marketing text messages is not a condition of any purchase. Message & data rates may apply.

Message frequency may vary. EcoNest Philippines reserves the right to alter the frequency of messages sent at any time, so as to increase or decrease the total number of sent messages. EcoNest Philippines also reserves the right to change the short code or phone number from which messages are sent and we will notify you if we do so.

Not all mobile devices or handsets may be supported and our messages may not be deliverable in all areas. EcoNest Philippines, its service providers and the mobile carriers supported by the program are not liable for delayed or undelivered messages.

By enrolling in the EcoNest Philippines messaging program, you also agree to these messaging terms & conditions (“Messaging Terms”), our EcoNest Philippines Terms of Use and EcoNest Philippines Privacy Policy.

Cancellation
Text the keyword STOP, STOPALL, END, CANCEL, UNSUBSCRIBE or QUIT to the telephone number, long code, or short code that sends you our initial confirmation message to cancel. After texting STOP, STOPALL, END, CANCEL, UNSUBSCRIBE or QUIT to the telephone number, long code, or short code that sends you our initial confirmation message you will receive one additional message confirming that your request has been processed. If you change your preferences, it may take up to 48 hours for it to take effect. You acknowledge that our text message platform may not recognize and respond to unsubscribe requests that do not include the STOP, STOPALL, END, CANCEL, UNSUBSCRIBE or QUIT keyword commands and agree that EcoNest Philippines and its service providers will have no liability for failing to honor such requests. If you unsubscribe from one of our text message programs, you may continue to receive text messages from EcoNest Philippines through any other programs you have joined until you separately unsubscribe from those programs.

No Warranty
TO THE MAXIMUM EXTENT ALLOWED BY APPLICABLE LAW, YOU ACKNOWLEDGE AND AGREE THAT THE MESSAGING PROGRAM IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED.

Limitation of Liability
TO THE MAXIMUM EXTENT ALLOWED BY APPLICABLE LAW, YOU AGREE THAT IN NO EVENT SHALL EITHER OF EcoNest Philippines OR ANY PARTY ACTING ON BEHALF OF EcoNest Philippines BE LIABLE FOR: (A) ANY CLAIMS, PROCEEDINGS, LIABILITIES, OBLIGATIONS, DAMAGES, LOSSES OR COSTS IN AN AGGREGATE AMOUNT EXCEEDING THE GREATER OF THE AMOUNT YOU PAID TO EcoNest Philippines HEREUNDER OR $100.00; OR (B) ANY DIRECT, INDIRECT, CONSEQUENTIAL, SPECIAL, INCIDENTAL, PUNITIVE OR ANY OTHER DAMAGES. YOU AGREE EVEN IF EcoNest Philippines HAS BEEN TOLD OF POSSIBLE DAMAGE OR LOSS ARISING OR RESULTING FROM OR IN ANY WAY RELATING TO YOUR USE OF THE EcoNest Philippines MESSAGING PROGRAM. EcoNest Philippines AND ITS REPRESENTATIVES ARE NOT LIABLE FOR THE ACTS OR OMISSIONS OF THIRD PARTIES, INCLUDING BUT NOT LIMITED TO DELAYS OR NON-DELIVERY IN THE TRANSMISSION OF MESSAGES.

Indemnity
To the maximum extent allowed by applicable law, you agree to indemnify, defend and hold harmless EcoNest Philippines, its directors, officers, employees, servants, agents, representatives, independent contractors and affiliates from and against any and all claims, damages, liabilities, actions, causes of action, costs, expenses, including reasonable attorneys’ fees, judgments or penalties of any kind or nature arising from or in relation to the these Messaging Terms or your receipt of text messages from EcoNest Philippines or its service providers.

Dispute Resolution
General. Any dispute or claim arising out of or in any way related to these Messaging Terms or your receipt of text messages from EcoNest Philippines or its service providers whether based in contract, tort, statute, fraud, misrepresentation, or any other legal theory, and regardless of when a dispute or claim arises will be resolved by binding arbitration. YOU UNDERSTAND AND AGREE THAT, BY AGREEING TO THESE MESSAGING TERMS, YOU AND EcoNest Philippines ARE EACH WAIVING THE RIGHT TO A TRIAL BY JURY OR TO PARTICIPATE IN A CLASS ACTION AND THAT THESE MESSAGING TERMS SHALL BE SUBJECT TO AND GOVERNED BY ARBITRATION.
Exceptions. Notwithstanding subsection (a) above, nothing in these Messaging Terms will be deemed to waive, preclude, or otherwise limit the right of you or EcoNest Philippines to: (i) bring an individual action in small claims court; (ii) pursue an enforcement action through the applicable federal, state, or local agency if that action is available; (iii) seek injunctive relief in aid of arbitration from a court of competent jurisdiction; or (iv) file suit in a court of law to address an intellectual property infringement claim.
Arbitrator. Any arbitration between you and EcoNest Philippines will be governed by the JAMS, under the Optional Expedited Arbitration Procedures then in effect for JAMS, except as provided herein. JAMS may be contacted at www.jamsadr.com. The arbitrator has exclusive authority to resolve any dispute relating to the interpretation, applicability, or enforceability of this binding arbitration agreement.
No Class Actions. YOU AND EcoNest Philippines AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING. Further, unless both you and EcoNest Philippines agree otherwise in a signed writing, the arbitrator may not consolidate more than one person's claims, and may not otherwise preside over any form of a representative or class proceeding. You agree that, by agreeing to these Messaging Terms, you and EcoNest Philippines are each waiving the right to a trial by jury or to participate in a class action, collective action, private attorney general action, or other representative proceeding of any kind.
No Class Actions. YOU AND EcoNest Philippines AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING. Further, unless both you and EcoNest Philippines agree otherwise in a signed writing, the arbitrator may not consolidate more than one person's claims, and may not otherwise preside over any form of a representative or class proceeding.
Modifications to this Arbitration Provision. Notwithstanding anything to the contrary in these Messaging Terms, if EcoNest Philippines makes any future change to this arbitration provision, you may reject the change by sending us written notice within 30 days of the change to EcoNest Philippines’s contact information provided in the “Contact Us” section below, in which case this arbitration provision, as in effect immediately prior to the changes you rejected, will continue to govern any disputes between you and EcoNest Philippines.
Enforceability. If any provision of these Messaging Terms is found to be unenforceable, the applicable provision shall be deemed stricken and the remainder of these Messaging Terms shall remain in full force and effect.
Changes to the Messaging Terms
We reserve the right to change these Messaging Terms or cancel the messaging program at any time. By using and accepting messages from EcoNest Philippines after we make changes to the Messaging Terms, you are accepting the Messaging Terms with those changes. Please check these Messaging Terms regularly.

Entire Agreement/Severability
These Messaging Terms, together with any amendments and any additional agreements you may enter into with us in connection herewith, will constitute the entire agreement between you and EcoNest Philippines concerning the Messaging Program.
